Terms of Sale

These Terms of Sale (ToS) govern the contractual relationship between Tenovate Services (Tenovates) and its clients, for the provision of website creation, technical consulting, and support services.

Approving a quote or subscribing to a plan implies unreserved acceptance of these terms.

Tenovates offers two subscription modes:

1. Standard plans (Essentiel, Business, Premium): for custom projects or based on a specification document.

2. Site templates: catalog of ready-to-use templates with a specific price per template, from 39 TND to 119 TND per month (available on the /templates page).

All subscriptions include hosting, maintenance, security updates, and technical support. One-time setup fees apply at subscription, detailed below.

Prices are shown incl. VAT in TND (19% VAT included).

Billing periods and discounts — The client can choose the billing frequency of their subscription. The longer the period, the greater the discount:

• Monthly: standard rate, billed each month, no discount

• Quarterly (3 months): 8% discount on subscription, billed every 3 months

• Annual (12 months): 15% discount on subscription, billed once a year

Period discounts apply only to the recurring share of the subscription (and to the monthly multilingual cost where applicable). They do not apply to setup fees or one-time options (logo, additional pages, multilingual setup).

Immediate payment discount (PAYNOW20) — An additional 20% discount on the first month's subscription is offered for any payment made within 24 hours of subscription. This discount applies only to the subscription portion of the first month, and is stackable with the period discount.

Setup fees and one-time options are not eligible for any discount.

Payment is made exclusively by bank transfer to the details provided on each invoice. No client bank data is processed by Tenovates.

Frequency and discounts — The client chooses the billing frequency:

• Monthly: standard rate, billed each month.

• Semi-annual (6 months in advance): 8% discount on subscription.

• Annual (12 months in advance): 15% discount on subscription.

Billing process:

• A PDF invoice is emailed at each due date, showing the amount and banking details (IBAN + BIC).

• The client has a reasonable time to make the transfer.

• Payment is marked received by our team after confirmation of the credit on our account.

Suspension for non-payment — In case of non-payment after reminder, the website is temporarily suspended until settlement. Data remains backed up and the site is reactivated upon receipt of payment.

Delivery timelines are indicative and may vary based on project complexity and client responsiveness:

• Simple showcase site: 5 to 7 business days

• E-commerce site: 10 to 15 business days

• Complex project: defined based on specifications

These timelines begin upon receipt of all necessary elements (content, images, brand guidelines, etc.) supplied by the client.

Regardless of our 15-day satisfaction guarantee, the client has a legal 14-day period from subscription to exercise their right of withdrawal.

Legal conditions:

• If no work has started: Full refund (stackable with our guarantee)

• If the project has started: Only unprovided services can be refunded

Note: Our 15-day satisfaction guarantee after going live is more advantageous than the legal withdrawal period.

Guarantee conditions:

• Trial period: The client has 15 days from the site going live to test and validate the result.

• Full refund: If the client is not satisfied during this period, all sums paid (subscription and one-time fees) are refunded.

• Feedback: In a continuous improvement effort, we appreciate if the client briefly shares the reasons for dissatisfaction. This feedback helps us perfect our services for future clients.

• Refund timeline: Refund is made within 14 business days after the request, whatever the reason.

This guarantee applies once per client and per project. Beyond the 15-day period after going live, standard cancellation terms apply.

Standard model (subscription) — The source code remains the exclusive property of Tenovates. The client benefits from a non-exclusive, non-transferable license to use for the duration of the subscription. Upon cancellation, the site is no longer accessible online.

Source code purchase option — The client may, at any time, request the full acquisition of their website's source code. A custom quote is then established based on project complexity, development time invested, and site value.

In case of source code purchase:

• The client becomes the exclusive owner of the code

• They can host the site wherever they wish

• They can modify the code freely

• The subscription contract is then terminated

Client-supplied elements — The client warrants they hold all rights to the content (text, images, logos) supplied and releases Tenovates from any liability in case of dispute.

Important disclaimer.

Sole owner and responsible party — The client is the sole owner and responsible for the content published on their website. Tenovates acts only as a technical provider for the development and maintenance of the site.

Liability disclaimer — Tenovates cannot in any case be held responsible for:

• Content published by the client (text, images, videos, etc.)

• Products or services sold through the site

• Any disputes between the client and their own clients

• Legal compliance of the site with the client's country legislation

• Copyright violations committed by the client

• Comments or content generated by site users

Client warranty — The client indemnifies Tenovates against any claim, action, or proceeding brought by a third party due to the content of their website.

Tenovates reserves the right to refuse any project that does not respect these rules.

The following are strictly prohibited:

• Adult content

• Illegal content

• Discriminatory content

• Dangerous content

Right of refusal — Tenovates reserves the right to refuse any project whose content would be contrary to its values, ethics, or Tunisian and international legislation. No justification is required in case of refusal.

Sanctions for non-compliance:

• Before project start: Pure and simple order cancellation

• During development: Immediate project stop with no refund

• After going live: Immediate site suspension and subscription termination without notice

The client agrees to comply with all laws and regulations applicable to their activity and website, in particular:

• Local legislation: The client is solely responsible for their site's compliance with the laws of their country (legal notices, ToS, privacy policy, etc.)

• Data protection: If the site collects personal data, the client must comply with applicable regulations (GDPR for Europe, Tunisian law, etc.)

• Copyright: The client warrants they hold all necessary rights on the content they publish

• Regulated activity: For activities requiring authorization (finance, health, etc.), the client must hold the necessary approvals

Tenovates provides a technical solution, not legal advice. It is up to the client to ensure their site complies with the law and to consult a legal professional if necessary.

The client agrees to:

• Provide accurate and complete information

• Deliver the content necessary for the project on time

• Not use the site for illegal activities

• Pay the sums due on the agreed dates

• Respect Tenovates' intellectual property rights

Tenovates agrees to:

• Provide services in accordance with agreed specifications

• Respect announced timelines

• Ensure the confidentiality of the client's information

• Provide responsive technical support

• Ensure the security and maintenance of hosted sites

Tenovates agrees to protect the personal data of its clients in accordance with Tunisian law and its Privacy Policy.

The data collected is used only in the context of the contractual relationship and is never sold to third parties.

These ToS are governed by Tunisian law.

In case of dispute, the parties agree to seek an amicable solution before any judicial proceedings.

Failing an amicable agreement, the courts of Tunis have sole jurisdiction.

The client can cancel their subscription at any time:

• From their client area (section 'My subscription')

• By simple request by email to contact@tenovates.com

Effect of cancellation:

• Cancellation takes effect at the end of the current billing period

• The website remains accessible until that date

• No partial refund is made for the period underway

After cancellation:

• The website is no longer accessible online

• Client data is kept for 30 days (possibility to retrieve it on request)

• Beyond that, data is permanently deleted

Exceptions:

• Cancellations during the satisfaction guarantee period (15 days) are handled under article 7

• Cancellations during the legal withdrawal period (14 days) are handled under article 6

Reactivation — The client may reactivate their site at any time by resuming a subscription. Data is kept for 30 days after cancellation.
